Terms of service
Last updated November 5, 2026 · Operated by Raw Guild Studios LLC
Cloud Catalogue is a software product operated by Raw Guild Studios LLC, a limited liability company organized under the laws of the State of New York, United States. These terms govern your use of the software operated by Raw Guild Studios LLC (“we”, “us”). By creating an account, continuing to use the service, sharing a catalog link or submitting an order request, you agree to them. If you use Cloud Catalogue for a company, you confirm you can accept these terms on its behalf. Subscriptions are sold by Paddle.com as Merchant of Record (see Plans and billing).
1. What Cloud Catalogue does
Cloud Catalogue lets brands (“merchants”) build wholesale catalogs and line sheets, download them as PDFs, and share private links where retailers (“buyers”) can browse and submit an order request.
An order request is a buyer's statement of the products and quantities they would like to order, at the prices shown on that link. It is not an accepted order, an invoice or a payment. Cloud Catalogue does not take payments from buyers, hold inventory, ship goods or confirm orders. Any sale is a separate agreement between the merchant and the buyer.
2. Accounts
- You need an account with a valid email address to save catalogs. Keep your password secure; you are responsible for activity on your account.
- Paid subscriptions are available exclusively to eligible US-based businesses. You must provide your business country and confirm you are authorized to represent the subscribing business.
- Cloud Catalogue is for business use only. You must be at least 18 and using it for a business, not for personal or household purposes.
- Give accurate account details and keep them up to date. Don't create accounts for anyone else without permission.
- The guest demo at /demo is a one-time trial: one demo per network, Atelier or Shelf only, illustrative sample products and one PDF download. Sample edits stay in your browser and aren't backed up. To enforce the limit we keep a limited demo record for 30 days, as described in the Privacy policy. The limit is per network, not per person, so it may occasionally block someone who hasn't used it.
3. Merchant responsibilities
- You are responsible for the accuracy of your catalog: product names, prices, minimums, case packs, barcodes, lead times and descriptions.
- You decide whether to accept, decline or change any order request, and you deal with the buyer directly on pricing, payment, taxes, shipping and returns.
- Anyone who has a share link can view that catalog until it expires or you revoke it. Links are not tied to a verified buyer identity — share them only with people you intend to.
- If you invite teammates, you control their role and access and are responsible for what they do in your catalog.
- You handle buyer contact details you receive in line with the law that applies to you. For buyer details in your catalogs and requests, you decide how they're used; we process them on your behalf to run the service.
- You are responsible for complying with laws that apply to the products you list, including age-restricted, regulated or licensed goods, labeling and safety rules, and pricing or marketing rules.
- You confirm you have the rights to the photos, logos, trademarks and text you upload. Cloud Catalogue doesn't review your products and doesn't guarantee that any product — including beverages, cosmetics or other regulated goods — meets legal or regulatory requirements.
- Any marketing email you send to buyers outside the service is your responsibility, including anti-spam laws such as CAN-SPAM.
4. Buyer responsibilities
If you submit an order request, provide accurate company and contact details. Submitting a request does not create a purchase obligation on you or a sales obligation on the merchant until the two of you agree terms. Questions about a request go to the merchant, not to us.
5. Our service and license
Raw Guild Studios LLC owns Cloud Catalogue, its software, underlying technology, interface, templates, documentation and branding, and all related intellectual property. While your account is in good standing we give you a limited, non-exclusive, non-transferable right to use the service within your plan. Don't copy, resell, reverse engineer or work around plan limits or technical restrictions.
6. Your content
You keep ownership of the content you upload or enter — product data, photos, logos and text. You give us a limited license to store, process, display and transmit it only as needed to run the service for you (for example, to render PDFs and show your catalog to people with your link or your teammates).
You confirm you have the rights to everything you upload and that it doesn't infringe anyone's rights. Optional AI writing suggestions are only applied when you approve them; check them before use.
7. Acceptable use
You must follow our Acceptable use policy, which is part of these terms. It prohibits unlawful, infringing or deceptive content, attempts to bypass security or plan limits, spam, scraping and reselling the service.
8. Plans, billing and cancellation
Plans are Studio $12, Wholesale $39 and Growth $79 USD per month, billed monthly in advance and renewing automatically until you cancel. Before you enter payment details, checkout shows the plan, price, monthly renewal, and how to cancel and request refunds, and asks you to agree. We record that agreement with the terms version shown. Paddle emails your receipt. We'll give notice before changing these billing terms for existing subscribers. Full details are in our Billing & refund policy.
Price protection. While a subscription stays continuously active, we keep its existing monthly base price. Changes to published prices apply to new subscriptions. If you switch plans, the new plan's published price applies and is shown before you confirm. If you cancel and later subscribe again, the then-current price applies.
Cancellation and lapsed plans. You can cancel any time from your Account page or the Paddle billing portal. Cancelling stops future renewals; you keep access until the end of the period you've already paid for. Upgrades take effect immediately with a prorated charge; downgrades take effect at your next renewal. If a subscription ends, is paused or a payment fails, paid features (editing, buyer links, order requests, exports, uploads, insights and team access) pause and your account becomes view-only: you can sign in and view, but not create, edit, export, download, duplicate or publish, and your buyer links pause. Access returns when payment succeeds. Your content stays stored and recoverable for 90 days after paid access ends (longer if we're legally required to keep it); we'll email you before it's scheduled for deletion. You can always request a copy of your personal data from the Account page.
Payments & refunds. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, tax and billing are also governed by Paddle's Buyer Terms. You can request a refund within 14 days of your first subscription payment by visiting paddle.net or emailing hello@cloudcatalogue.co. Later monthly renewals are generally not refundable once that billing period has started, but refunds may be provided where required by applicable consumer-protection law, where statutory withdrawal rights apply, where the service is materially defective or not provided as described, or where approved by Paddle. Cancelling stops future renewals and is not itself a refund. Nothing in this policy limits rights that cannot lawfully be excluded.
Payment disputes. If you have a billing problem, please contact us or our payment provider first so we can help. This doesn't limit your right to dispute a charge with your bank or card issuer.
Promotional discounts. If we offer a discount (for example when you start to cancel), its amount, the number of billing periods it covers and when your regular price resumes will be shown before you accept. A discount doesn't change your base price, and a one-time offer can be used once per customer.
9. Data, export and deletion
While your plan is active you can download catalog CSVs and PDFs from the editor. At any time, including after your plan ends, you can download your account data and request account deletion from the Account page or by emailing hello@cloudcatalogue.co. Deletion requests are reviewed and carried out by a person, not instantly. Our retention periods are listed in the Privacy policy. See our Privacy policy for details.
10. Availability and changes
We work to keep Cloud Catalogue available and your work saved, but we don't guarantee uninterrupted service. Features may change; we'll give reasonable notice of changes that materially reduce what you rely on. Keep your own copies of important catalogs.
11. Suspension and termination
You can stop using Cloud Catalogue at any time. We may suspend or close accounts that materially break these terms, don't pay, create a security or fraud risk, or repeatedly or seriously violate our policies, and will tell you why unless we're legally prevented from doing so. If access ends, your catalogs stay view-only until deletion, and you can still download your account data.
12. Merchant indemnification
To the extent permitted by applicable law, you will indemnify Raw Guild Studios LLC against third-party claims and reasonable resulting costs arising from your merchant-controlled content infringing intellectual property rights, your unlawful collection or submission of buyer information, or your unlawful use of the service or material violation of these terms. This does not cover claims caused by our breach of these terms, negligence or willful misconduct. We will notify you promptly of a claim, allow you to control its defense with reasonably acceptable counsel, and reasonably cooperate at your expense. You may not settle a claim that admits fault by us or imposes obligations on us without our written consent.
13. Disclaimers and liability
The service is provided “as is”, without implied warranties, to the extent the law allows. AI support-chat answers may be wrong; check important details with us. To the Third-party services, including payment and hosting providers, may experience interruptions; we do not guarantee their availability or error-free performance. To the extent the law allows, we are not liable for indirect, incidental or consequential losses, lost profits, or for dealings between merchants and buyers, including order requests that are not fulfilled. Our total liability for any claim relating to the service is limited to the subscription fees you paid for Cloud Catalogue in the 12 months before the claim arose. This limit doesn't apply to liability that can't be limited by law, such as for fraud, gross negligence or willful misconduct.
14. Governing law and disputes
These terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Subject to applicable law, disputes will be heard in the state courts located in Suffolk County, New York, or the United States District Court for the Eastern District of New York, and both parties consent to those courts. There is no mandatory arbitration. Nothing here removes rights that the law where you're based doesn't allow to be waived.
